NutriFlex® Wholesale Reseller Agreement
NutriFlex® is a SmartPack PTY Ltd brand.

You can access wholesale pricing once your reseller account is approved and activated.

*Retail Selling Prices (RSP) are subject to change with a thirty (30) day written notice.
MINIMUM ORDER, PRICING & DISCOUNT INFORMATION
R2500.00 minimum PAYMENT: Payment is required at the time the order is placed. The order will be held until payment is cleared with the bank.
A credit card number is required to be held on file for all wholesale customers who need credit terms.
SmartPack PTY Ltd Reseller Terms and Agreement
This Reseller agreement grants the Reseller the right to sell the NutriFlex® products of SmartPack PTY Ltd. In exchange for that right, the Reseller agrees to the terms and conditions that follow:
MINIMUM ORDERS: The reseller must meet the minimum quantity and payment amount on orders specified by the seller.
No exceptions unless otherwise agreed to by SmartPack PTY Ltd or in such circumstance of special orders as agreed to by SmartPack PTY Ltd.
PAYMENT TERMS: The reseller agrees to prepay the first purchase order by EFT. Subsequent orders may be paid by credit card or EFT.
At the sole discretion of SmartPack PTY Ltd, resellers may thereafter be granted 30-day payment terms (after the initial order).
If such terms are granted, the reseller agrees to complete payment within 30 days of receiving the shipment.
The reseller must pay only for merchandise received (i.e., back orders excluded). Credit references must be provided and verified to establish net terms. If net payment is more than 15 days overdue, SmartPack PTY Ltd reserves the right to charge the credit card held on file.
Orders may be placed via email or by phone.
ADDITIONAL FEES: Late payments may revert payment terms to prepayment and may be subject to additional fees. Prepayment terms will remain unless otherwise dictated by SmartPack PTY Ltd.
The customer may be required to pay SmartPack PTY Ltd. all costs, expenses, legal, and collection fees incurred in enforcing the terms and conditions as allowed by law.
COMPETITIVE PRODUCT REFERENCE: The reseller must never use any NutriFlex® images, including product or model photos, NutriFlex® name or logo mark, nor the name or logo mark of any SmartPack PTY Ltd products, nor any name or logo mark designed or intended to be similar to any NutriFlex® product name or logo mark, nor any descriptive or explanatory text, nor any reference to the NutriFlex® products in reference or relation to any other company, product or brand name other than those produced or distributed by SmartPack PTY Ltd without prior written consent.
SmartPack PTY Ltd may discontinue sales to the reseller if this policy is violated at any time.
ONLINE SALES: The reseller agrees NOT to attempt to resell any SmartPack PTY Ltd NutriFlex® product online via any business sites, such as Takealot, Amazon, Makro, or other third-party websites, with the exception of a personal online retail site, which may or may not support a physical storefront.
The reseller further agrees any online sales meeting the above exception must adhere strictly to the product(s) Retail Selling Price (RSP) set by SmartPack PTY Ltd, excluding shipping costs.
Any deviation from the RSP, including discounts or unauthorised promotions, will be considered a breach of this agreement.
Smartpack PTY Ltd reserves the right to suspend or terminate reseller privileges, take legal action, or impose penalties for non-compliance with this pricing policy.
Exceptions are only considered if the reseller obtains prior written consent from SmartPack PTY Ltd.
USE OF PROMOTIONAL MATERIALS: Resellers may use specific photos, graphic images, and/or text provided by SmartPack PTY Ltd to promote or in conjunction with NutriFlex® products only, and even then only for the duration that SmartPack PTY Ltd products are actively offered for resale by resellers and the reseller agreement, terms, and conditions are fully honoured.
Failure to comply with these rules may result in the termination of future wholesale pricing offers or sales to the reseller.
REPACKAGING: A reseller must never repackage, reproduce, or reformulate any NutriFlex® product(s) without the express, prior written consent of SmartPack PTY Ltd. Failure to comply with this rule may result in the immediate termination of any future orders by the reseller.

SHIPPING: Orders will be shipped via Courier within South Africa. Payment must be received before shipment. Rates and service are subject to change at any time at the sole discretion of SmartPack PTY Ltd.
DAMAGE CLAIMS: You must call 021 001 0198 within 10 days of receipt of merchandise to claim damaged or misshipped items.
Returns are only accepted for items that are damaged or mis-shipped. The reseller must return merchandise in 100% resellable condition to receive credit for the product.
A 25% restocking fee may be assessed at the sole discretion of SmartPack PTY Ltd.

PRICING: Wholesale/RSP prices are subject to change without notice and at the discretion of SmartPack PTY Ltd.
Violating RSP pricing standards set by SmartPack PTY Ltd may result in the reseller losing wholesale pricing and order availability.
Wholesale/RSP pricing at the time of purchase will be honoured on orders set with a future ship date.
TERRITORY PROTECTION: SmartPack PTY Ltd reserves the right to deny sales to a reseller based on proximity to other NutriFlex® customers or resellers.
Resellers with protection will be determined by/at the sole discretion of the seller.
SmartPack PTY Ltd reserves the right to protect/unprotect territory with or without notice to the reseller. The territory protection policy is subject to change by SmartPack PTY Ltd.
